Terms of Service

1Who we are
These terms are between you (the “Client”) and Techountant FZC, a company registered in Sharjah, United Arab Emirates (“Techountant”, “we”, “us”).

2What we provide
We provide cloud hosting and infrastructure for your business systems — the servers, storage, bandwidth and platform on which your instance runs.
Anything else we may do for you — implementation, customisation, training, consulting or support — is agreed and billed separately and is not covered by these terms.
3Fees and invoicing
Hosting is charged monthly. Your monthly fee depends on the infrastructure tier your instance runs on, and is set out in your service agreement or quotation.
We issue an invoice for each billing period. The invoice states the amount due, the currency, and the due date. The invoice is the authoritative statement of what you owe.
Your fee stays the same each month unless your infrastructure tier changes — for example, if your usage, storage or user count grows beyond your current tier. We will tell you before a tier change takes effect, and the new amount will appear on your next invoice.
4Recurring card payments
If you authorise a card, you are giving us permission to charge that card on an ongoing, recurring basis for your hosting invoices. This continues every month until you cancel.
Each charge is taken:
- for the amount shown on that period’s invoice;
- on or after the invoice due date;
- in the currency stated on the invoice — which may differ from your card’s currency, in which case your bank applies its own conversion and fees.
You will receive each invoice before the card is charged. We keep a record of your authorisation, including the wording you accepted and when.
Your card details are handled entirely by Stripe, our payment processor. We never see or store your card number.
5How to cancel
You can cancel your card authorisation, or the hosting service, at any time by emailing hello@techountant.com.
Cancellation takes effect at the end of the period you have already paid for. Your hosting continues until then, and we will not charge your card again afterwards.
Cancelling the card authorisation does not cancel amounts already invoiced and unpaid. Those remain due and payable by another method.
6Refunds
Fees for a billing period are not refundable once charged. If you cancel mid-period, your hosting runs to the end of that period rather than being refunded.
If we have charged you in error — a duplicate charge, or an amount that does not match your invoice — tell us and we will correct it.
7If a payment fails
If a charge is declined, we will retry it and contact you. If payment remains outstanding, we may suspend your hosting after giving you notice.
We will not delete your data because of a payment failure without telling you first and giving you a reasonable opportunity to retrieve it or settle the account.
8Your data
Your data remains yours. We hold it in order to provide the hosting service, and we do not use it for any other purpose.
We take routine backups as part of the hosting service. You remain responsible for keeping your own copies of anything you cannot afford to lose.
On cancellation, you may ask us for an export of your data. We will provide it in a standard format within a reasonable period.
9Availability
We aim to keep your hosting available continuously, but we do not guarantee uninterrupted service. Planned maintenance will be notified in advance where practical.
Where we have agreed a specific service level with you in writing, that agreement takes precedence over this section.
10Limits on our liability
We are responsible for providing the hosting service with reasonable skill and care. We are not liable for indirect or consequential loss, including lost profits or lost business.
Our total liability in any twelve-month period is limited to the hosting fees you paid us in that period.
Nothing here limits liability that cannot be limited by law.
11Changes to these terms
We may update these terms. If a change materially affects you, we will tell you before it takes effect. Continuing to use the service after that means you accept the updated terms.
The version and effective date at the top of this page tell you which terms currently apply.
12Governing law
These terms are governed by the laws of the United Arab Emirates. Any dispute falls to the courts of Sharjah.
